Terms of Service
Last updated: October 21, 2026
Please read these terms carefully. They explain your rights and responsibilities when using FarmOS AI, including the limits of AI farm recommendations.
1. Agreement
These terms are an agreement between you and Ugouno International Limited (“we”, “us”). By creating an account or using FarmOS AI you agree to them. If you use the service for an organization, you confirm you may accept these terms on its behalf.
2. Eligibility and your account
- You must be at least 18 years old and able to enter a binding contract.
- Keep your sign-in details secure and tell us promptly about any unauthorized use.
- Organization owners and admins are responsible for who they invite and the roles they give.
3. The service and plans
FarmOS AI helps you record and manage farm operations, finances, livestock, weather and sensor data, and provides AI-assisted analysis. Features and limits depend on your subscription plan, as shown on the billing page in the app. We may improve or change features over time.
4. Billing, renewals, cancellation and refunds
Paid plans are billed in advance, monthly or yearly, through Paystack (Nigeria) or Paddle (other countries). Subscriptions renew automatically until cancelled. You can cancel from the billing page; access continues until the end of the paid period.
If a payment fails, the provider may retry it, and we may limit paid features until payment succeeds. Refunds: monthly payments are non-refundable, but you can cancel at any time and keep access to the end of the paid period; yearly plans can be refunded pro rata within 14 days of purchase. Where required by law, including for consumers in the EU or UK, you also have the statutory right to withdraw within 14 days. Paddle sales are also subject to Paddle's own checkout terms. Prices may change with advance notice before your next renewal. Taxes may apply.
5. Acceptable use
You agree not to misuse the service, including by: accessing another organization’s data, attempting to bypass security or plan limits, overloading the service or API, uploading unlawful or harmful content, or reselling the service without permission.
We may suspend or close accounts that break these terms or put the service or other users at risk. Where reasonable, we will give notice first.
6. Your farm data
You keep ownership of the data you enter or upload. You give us permission to store, process and display it only as needed to run and improve the service for you, including sending relevant parts to AI providers when you use AI features. You are responsible for having the right to submit the data. Our handling of personal information is described in the Privacy Policy.
7. Availability, integrations and third parties
We aim to keep the service available but do not promise uninterrupted access. Weather, satellite imagery, market prices, payments and AI rely on outside providers whose data may be delayed, incomplete or unavailable. Data clearly labelled as test or demo data is not real-world data.
8. AI and agricultural advice — important limits
FarmOS AI is a decision-support tool, not a substitute for professional agronomic, veterinary, financial or legal advice.
- Weather forecasts, pest and disease assessments from photos, yield and profit estimates, risk alerts, and other recommendations are advisory estimates and may be wrong.
- You must use your own professional judgment and independently verify important decisions, including any chemical, treatment, animal health, purchase or financial decision, with a qualified adviser and the product label.
- We do not guarantee any yield, profit, weather accuracy, or the prevention of crop, livestock or financial loss.
- AI-suggested changes to your records are only applied after you approve them; you are responsible for what you approve.
9. Disclaimer of warranties
To the extent permitted by law, the service is provided “as is” and “as available”, without warranties of any kind. Nothing in these terms limits rights you have under consumer law that cannot be excluded.
10. Limitation of liability
To the extent permitted by law, we are not liable for indirect or consequential losses, including lost crops, livestock, yield, revenue or profit, arising from use of the service or reliance on its recommendations. Our total liability is limited to the fees you paid us in the 12 months before the claim.
11. Ending these terms
You can stop using the service and delete your account at any time from Account settings. We may end these terms if you seriously break them. Sections about data, disclaimers and liability continue after termination.
12. Governing law and disputes
These terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. Disputes will be handled by the state or federal courts located in Delaware, United States. We encourage you to contact us first so we can try to resolve any issue informally.
13. Changes to these terms
We may update these terms. We will change the date at the top and notify account owners of significant changes before they take effect.
14. Contact and support
